Essential Duties and Responsibilities:

Corporate Entity Maintenance – Handling and/or supervising various aspects of corporate entity formation and maintenance, which may include the following:

  • For each new entity, prepare a Certificate of Formation, an Operating Agreement, and foreign qualification documentation.

  • Coordinate and track foreign qualification filings with our corporation service.

  • For each new entity, acquire a Tax ID Number (EIN) from the IRS.

  • For each new entity, create and update formation checklists/database.

  • Upon the formation of each new entity, create an entity organization chart, update the Tax ID list and various databases, and circulate applicable updates.

  • Supervise the filing of all entity documents.

  • Code and submit all corporation service invoices for payment.

  • Work with outside legal counsel regarding the preparation and distribution of annual reports and payment for all entities in the states in which they are qualified to do business.

  • Schedule and provide updates for monthly status calls with each entity counsel.

  • Process entity dissolutions and withdrawal of foreign qualifications as needed.

  • Respond to requests from counsel and Company personnel for entity documents and information as needed.

  • Obtain from outside legal counsel and prepare for execution annual meeting minutes for Delaware and Maryland corporations.

  • Work with outside counsel to ensure all entities in national and international jurisdictions are in good standing on an annual basis.

  • Assist with the preparation and updating of training materials to capture new or changed procedures in connection with the implementation of a new corporate database.

Qualifications and Experience:

  • Bachelor’s degree required.

  • At least 3 years of paralegal experience in a corporate law setting.

  • Paralegal certificate from an ABA-accredited school a plus.

  • Strong attention to detail and ability to work in a fast-paced environment, prioritize multiple projects, and reliably meet deadlines a must.

  • Excellent verbal and written communication skills.

  • Ability to work independently and be a team-oriented self-starter required.

  • Proven ability to develop strong client relationships.

  • Advanced MS Word and Excel skills required; Vizio experience a plus.

  • The expected base salary range for this position is US$70,000 – $85,000 annually. This salary range is an estimate, and the actual salary may vary based on the consideration of many factors, which may include, but are not limited to, the individual’s knowledge, experience, education, qualifications, skills, and job location, as well as the Company’s compensation practices.
